Rexnord Holdings, Inc. (“RHI”) is the ultimate parent company of RBS Global, Inc. and Rexnord LLC. RHI was formed on July 21, 2006 in connection with the sale of RBS Global, Inc. from The Carlyle Group (our prior majority equity owner) to Apollo Management, L.P. (our current majority equity owner). We are furnishing the following consolidated financial and other information as required by the RHI Credit Agreement and the related indenture (which governs the PIK toggle senior indebtedness issued by RHI) solely to meet our obligations to holders under the terms of the Credit Agreement and the related indenture.
